Terms of Service
These Terms of Service (“Terms”) are a legal agreement between you (“you”, “your”, or “Client”) and Saedi Group LLC, a Wyoming limited liability company operating the Saedi Tech brand (“Saedi Tech”, “we”, “us”, or “our”). They govern your access to and use of the website saeditech.com (the “Site”) and any services, tools, forms, or deliverables we provide (together, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Who we are

2. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a business, you represent that you are authorized to bind that business to these Terms.
3. The website is for information
Content on the Site — including descriptions, pricing ranges, tools, and examples — is provided for general information only. It is not a binding offer, a guarantee of results, or professional advice, and it may change at any time without notice. Any prices shown are indicative starting points; your actual price is set in a written proposal.
4. Enquiries, proposals & how a project starts
Submitting a form, questionnaire, or message starts a conversation — it does not create a contract, reserve capacity, or obligate either party. A project only becomes binding when we and you agree a separate written proposal, quote, or statement of work (a “Project Agreement”) that sets out the scope, price, timeline, and payment terms. If anything in a signed Project Agreement conflicts with these Terms, the Project Agreement controls for that project.
5. Free tools & calculators
Any calculators, generators, estimators, or other free tools on the Site are provided “as is” for convenience only. Their outputs are estimates and general information, not professional, financial, or legal advice, and may be inaccurate. You use them at your own risk and are responsible for verifying any result before relying on it. We are not liable for decisions you make based on them.
6. Your responsibilities
- Provide accurate, lawful, and complete information and materials;
- Only submit content (text, images, photos, videos, logos, files) that you own or have the right to use, and obtain any needed permissions or licenses;
- Respond and provide approvals in a timely way so we can deliver on schedule;
- Not use the Services for anything unlawful, infringing, harmful, deceptive, or that violates the rights of others;
- Not attempt to disrupt, reverse-engineer, overload, or gain unauthorized access to the Site, our systems, or others' data.
You are responsible for the content and materials you provide, and for your use of any work we deliver.
7. Intellectual property
Our property. The Site, the Saedi Tech and Saedi Group names and logos, and our underlying methods, templates, tools, and pre-existing materials remain our property or that of our licensors. Nothing here transfers those to you.
Your content. You keep ownership of the materials you provide to us and grant us a license to use them as needed to provide the Services.
Deliverables. Ownership of the final work we create specifically for you transfers to you as set out in your Project Agreement — normally upon our receipt of full payment. Until then, we retain all rights. We may use general skills, know-how, and non-confidential techniques on other projects, and — unless your Project Agreement says otherwise — we may display completed work in our portfolio and marketing.
8. Payment
Fees, deposits, milestones, and payment timing are set in your Project Agreement. Unless stated otherwise, deposits are non-refundable once work has begun, payments are due as invoiced, and late or unpaid amounts may pause work and, where lawful, accrue reasonable interest. You are responsible for any applicable taxes.
9. Third-party services
The Services rely on and may integrate third-party platforms (for example hosting, domains, email, payments, storage, and analytics). Those services are governed by their own terms, are outside our control, and we are not responsible for their availability, performance, or actions. Fees charged by third parties (such as domain registration or hosting) are your responsibility unless your Project Agreement states we cover them.
10. Disclaimer of warranties
THE SITE, THE FREE TOOLS, AND THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT THEY WILL ACHIEVE ANY PARTICULAR RESULT, RANKING, TRAFFIC, OR REVENUE. YOU USE THE SERVICES AT YOUR OWN RISK. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAEDI GROUP LLC AND ITS MEMBERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS BEFORE THE EVENT, OR USD $100 IF YOU PAID NOTHING. THESE LIMITS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.
12. Indemnification
You agree to defend, indemnify, and hold harmless Saedi Group LLC and its members, employees, and contractors from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) content or materials you provide; (b) your use of the Services or any deliverables; (c) your violation of these Terms or of any law or third-party right.
13. Confidentiality
Each party will protect the other's non-public information shared for a project and use it only to perform or receive the Services. This does not apply to information that is public, already known, independently developed, or required to be disclosed by law.
14. Suspension & termination
We may suspend or stop providing the Site or Services, in whole or in part, at any time, and we may restrict access if you breach these Terms or misuse the Services. Termination of a specific project is governed by your Project Agreement. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, indemnification, and governing law) survive termination.
15. Governing law & disputes
These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. You agree that any dispute relating to the Services will be resolved exclusively in the state or federal courts located in Wyoming, and you consent to their jurisdiction — unless a signed Project Agreement specifies a different forum or arbitration. Each party waives any right to a jury trial where permitted by law.
16. Changes to these Terms
We may update these Terms from time to time. Changes take effect when posted on this page with a new “Last updated” date. Your continued use of the Services after that means you accept the updated Terms.
17. General
These Terms, together with any Project Agreement and our Privacy Policy, are the entire agreement between you and us regarding the Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor.
